  • Advice on matters relating to the interpretation to KIM’s governance policies and corporate status to ensure that proper and consistent information is provided on the governance framework and Charter.
  • Coordinate and follow up with internal and external customers, and the external legal counsel of the Institute on the execution of legal documentation and satisfaction of legal conditions precedent relating to all matters of the institute to ensure effectiveness of transaction in line with advisory role;
  • Review Board papers, agendas and other working documents for the Governing Council’s meetings to ensure consistency of information provided to the Council, proper follow up of Council decisions and that proper approvals are in place in line with the governance framework.
  • Presentation of governance related board papers to the Council to update the Council or secure required approvals where relevant;
  • Execution of resolutions and decision records to ensure proper dissemination of the Governing Council’s resolutions and decisions;
  • Issuance of legal opinions and/or certificates as may be necessary concerning KIM’s corporate status, including its privileges and immunities as well as its international recognition;
  • Lead in the development of departmental work plan to ensure efficient execution of the set objectives.
  • Lead in the development and implementation of the departmental budget to ensure efficient allocation of resources necessary for quality implementation of the department’s objectives.
  • Supervise logistical and administrative matters regarding the coordination of Governing Council, subcommittee meetings and Annual General Meetings proceedings to ensure proper delivery of council proceedings, deliberations and approvals in line with the governance framework;
  • Issue Recommendation Memos to the Executive Director prior to execution of legal documentation relating to resource mobilization and institutional matters to ensure the proper mitigation of all legal or governance risks facing the Institute and the proper entering into of legal documents on behalf of KIM;
  • Execution of agreements on behalf of KIM when related to the scope of work of the department to ensure the proper mitigation of all legal or governance risks facing the Institute and the proper entering into of legal documents on behalf of the Institute.
  • Provide legal advisory services to relevant Departments on all legal matters through review of legal instruments (term sheets and legal agreements).
  • Liaise with and support committees and task forces from time to time, and attend committee and task force meetings as a member to provide governance and/or legal advice as required.
  • Provide advisory legal services to the KIM’s internal and external customers ranging from interpretation of the Institute’s constitutional, administrative and service documents, partnerships with other institutions and consultants.
  • Draft Board papers, agendas and other working documents for the Governing Council Board’s meetings and coordinate the Council’s meetings in liaison with other departments to ensure to ensure proper delivery of Council proceedings, deliberations and approvals in line with the governance framework.`

Requirements

  • A minimum of a degree in Law from a recognised institution
  • A minimum of five (5) years of relevant professional experience in a relevant industry.
  • Qualification to practice law in a civil law and a common law jurisdiction
